Part A — The basics
Who I am, who these terms apply to, how an agreement starts and how you pay.
1. Definitions
In these terms:
- The Fray — the sole proprietorship (eenmanszaak) The Fray, run by Claudio Fray, registered with the Dutch Chamber of Commerce under number 62734636, VAT number NL002481815B25, at Elizabeth Cady Stantonplein 547, 1102 BL Amsterdam. Referred to below as "I" or "me".
- Client — the person or organisation that enters into an agreement with me. Referred to below as "you".
- Consumer — a client acting for purposes outside their trade, business or profession. Every personal training, class, online product and community client is a consumer unless they tell me otherwise.
- Business client — a client acting in the course of a business or profession, including anyone buying business or marketing coaching. Part F applies to business clients and changes several of the terms below.
- Training services — one-to-one personal training, small group training and classes, online coaching, nutrition guidance, training and nutrition plans, digital products such as recipe books, home programmes, challenges and online courses, and access to my online community.
- Business services — business and marketing coaching, marketing strategy and planning, sales training, team and management coaching, one-off strategy sessions, 1:1 growth programmes and in-company training.
- Services — training services and business services together.
- Agreement — the agreement between you and me under which I deliver the services.
- In writing — by letter, email or digital message including WhatsApp.
- The gym — TrainMore Koninginneweg, where in-person training and classes take place.
2. When these terms apply
2.1 These terms apply to every offer, quotation, agreement, service and invoice from The Fray, unless we have agreed otherwise in writing.
2.2 You accept these terms when you agree by email, accept an online offer, place an order or sign up through the website, or start a package.
2.3 If a signed agreement and these terms conflict, the signed agreement wins.
2.4 Your own purchase conditions do not apply.
2.5 I may change these terms. If I do, I will tell you by email at least 30 days before the change takes effect. If you are a consumer and the change is to your disadvantage, you may end the agreement free of charge before it takes effect, and I will refund the unused part of anything you have paid.
2.6 If one clause turns out to be invalid, the rest stays in force and we agree a replacement that follows the intention of the original.
3. Offers and prices
3.1 An offer is valid for 14 days unless it says otherwise, and is subject to availability.
3.2 All prices to consumers include VAT where VAT applies. Prices to business clients are excluding VAT.
3.3 An offer describes which service, which package, how many sessions and at what price. Travel costs, if any, are €0.38 per kilometre and are stated in the offer.
3.4 I may change my prices. A price change never applies to a package you have already paid for or already started. For an ongoing agreement, I will tell you at least 30 days before a new price takes effect, and you may end the agreement from the date the increase applies.
3.5 Obvious mistakes and typing errors in an offer do not bind me.
3.6 An offer or a special promotion does not apply automatically to a renewal or a follow-up package.
4. How the agreement starts
4.1 The agreement starts when you accept my offer in writing, book online, or start training with me having agreed the price.
4.2 I confirm every agreement by email, stating the package, the price, the payment schedule and the start date, with these terms and my privacy statement attached.
4.3 Changes to an agreement are only valid once both of us have confirmed them in writing.
4.4 I may use a qualified replacement trainer for a session if I need to, and I remain responsible for the quality of the session.
5. Your 14-day right to change your mind
5.1 If you are a consumer and you bought online, by phone, or anywhere other than face to face at a business premises, you may cancel within 14 days of entering the agreement without giving a reason.
5.2 To cancel, just tell me — an email to mail@claudiofray.com is enough. I will confirm receipt and refund you within 14 days.
5.3 If you want to start straight away. Coaching often starts before those 14 days are up. If you expressly ask me to start during the cooling-off period, you may still cancel, but you owe me a proportionate amount for what I have already delivered. If I have fully delivered the service during that period with your express agreement, the right to cancel ends.
5.4 Digital products. For a recipe book, online course or downloadable programme, you lose the right to cancel the moment you get access, provided you expressly agreed to immediate access and acknowledged losing the right. That confirmation is built into the checkout and the confirmation email.
5.5 This article does not apply to business clients.
6. Payment
6.1 Once you accept an offer, you owe the agreed price.
6.2 Invoices are payable within 14 days of the invoice date, unless the invoice or our agreement says otherwise.
6.3 Payments are made online through Stripe, or by bank transfer to my ABN AMRO account, as stated on the invoice. Invoicing and administration run through SnelStart.
6.4 Paying per period or paying in full. A package can be paid per four-week period in advance, or in full in advance. Paying in full in advance earns a 10% discount on the total. The discount is for the full commitment and early cancellation is not possible.
6.5 Training in a new period starts once payment for that period has been received.
6.6 If you pay by direct debit and a collection fails — insufficient funds, a wrong account number, a reversal — I may charge €25 in administration costs, and the invoice remains payable.
6.7 If you pay late. If you are a consumer and you miss a payment, I will send you a reminder giving you 7 days to pay without extra cost. After that, you will receive 2 reminders each after 7 days. Only after that period may I charge statutory interest and collection costs, calculated under the Dutch statutory scale (Besluit vergoeding voor buitengerechtelijke incassokosten), with a minimum of €40.
6.8 If a payment is more than 7 days overdue after that reminder, I may pause your sessions and your access to the online environment and the community until the bills are cleared. Paused time does not extend your package.
6.9 If payment has been late three times, I may end the agreement or withdraw the option to pay in instalments, and the remaining balance becomes payable at once.
6.10 Query an invoice within 14 days of the invoice date and I will look into it. A query does not suspend the obligation to pay the undisputed part.
Part B — Personal training and classes
7. Where we train
7.1 All personal training sessions and classes take place at TrainMore Koninginneweg, unless we agree another location in writing.
7.2 You need your own active TrainMore membership to train with me. Your membership is a separate agreement between you and TrainMore. I am not a party to it, I cannot arrange, pause or cancel it, and its cost is not included in my prices.
7.3 While you are in the gym you follow the gym's house rules and the instructions of its staff. If your membership lapses, is suspended, or the gym denies you access, we cannot train there. Sessions missed for that reason count as sessions taken, unless you tell me far enough ahead for me to offer you an alternative.
7.4 If we agree to train somewhere else at your request, any cost of booking or using that location is yours.
8. Your health
8.1 Before we start you complete a health declaration and intake. You tell me, honestly and completely, about injuries, illnesses, surgery, medication, pregnancy and anything else that affects safe exercise.
8.2 You tell me as soon as anything changes — a new injury, a new diagnosis, new medication, a pregnancy.
8.3 If you have a heart condition, high blood pressure, a chronic illness, a recent operation or any complaint that makes exercise risky, I may ask you to get clearance from your doctor before we start or continue. I may decline to train you until you have it.
8.4 I may stop a session or change an exercise at any moment if I judge it unsafe. That is my call and it is final.
8.5 If you withhold or misstate health information, I cannot be held responsible for the consequences.
8.6 I train clients aged 18 and over. I do not train children or under-18s.
9. Safety and your own responsibility
9.1 Exercise carries risk. You train at your own risk, and you take responsibility for applying what I teach you.
9.2 You follow my instructions and technique cues. If you do something I have not instructed, or ignore a correction, the consequences are yours.
9.3 You tell me during a session if something hurts, feels wrong, or you feel unwell. Stopping is always the right answer.
9.4 You wear appropriate clothing and footwear and observe the gym's hygiene rules.
9.5 You do not train under the influence of alcohol or drugs. If I judge that you are, I may end the session, and it counts as taken.
9.6 Nothing in this article limits my liability where Article 20 says it cannot be limited.
10. Booking, moving and missing sessions
10.1 Sessions are booked in advance by agreement. You are responsible for booking your sessions in good time within the term of your package.
10.2 Moving a session. A one-to-one session may be moved free of charge if you tell me at least 24 hours before it starts.
10.3 Less than 24 hours' notice. Cancelling or moving a session less than 24 hours before it starts, or not turning up, means the session is forfeited: it counts as taken and is charged in full.
10.4 Exceptions. Clause 10.3 does not apply where you are prevented by a medical emergency or by circumstances neither of us can control. In those cases we move the session at no cost. I may ask for reasonable evidence where the same reason is given repeatedly.
10.5 Arriving late. A session ends at its scheduled end time. Time lost by arriving late is not made up.
10.6 Group classes. A place in a class cannot be moved or made up if you do not attend. Not attending does not entitle you to a refund or to suspend payment.
10.7 If I have to move a session. If I am unable to run a session, I will tell you as soon as possible and in any case within 24 hours, and we reschedule at no cost to you, or I arrange a qualified replacement.
10.8 If I cancel a class for too few sign-ups, or because of circumstances beyond my control, you keep your entitlement to that class on a new date.
11. Illness, injury and holidays
11.1 If you are ill or injured and cannot train, tell me as soon as you know. If you tell me more than 24 hours before a session, we move it at no cost.
11.2 Pausing. If illness, injury or a holiday keeps you from training for a longer stretch, your package can be extended by up to two weeks in total, unless we agree otherwise in writing.
11.3 Longer than that. If you are unable to train for more than four consecutive weeks for a medical reason, and you can show me a doctor's or physiotherapist's note, we will pause the package for the length of that period. Payments pause too, and the package resumes when you do.
11.4 If a medical condition means you cannot complete your package at all, tell me and we will find a fair solution. I will not hold you to sessions you are medically unable to take.
11.5 If I am ill, I will tell you within 24 hours and either reschedule or arrange a qualified replacement. Sessions I cannot deliver are never charged.
12. How long sessions stay valid
12.1 If you buy a pack of sessions. The sessions stay valid for a number of weeks equal to one and a half times the number of sessions in the pack, counted from the start date.
| Pack | Valid for | Last day to use it |
|---|---|---|
| 4 sessions | 6 weeks | Six weeks after the start date |
| 8 sessions | 12 weeks | Twelve weeks after the start date |
| 12 sessions | 18 weeks | Eighteen weeks after the start date |
| 20 sessions | 30 weeks | Thirty weeks after the start date |
12.2 If you are on a running agreement or membership. Your sessions stay valid until four weeks after the last invoice you have paid. If payments stop, any sessions still outstanding expire four weeks after the period that last invoice covered.
12.3 Any pause agreed under Article 11 is added to these periods.
12.4 You are responsible for booking your sessions in time. Expired sessions are not refunded and do not carry into a new pack.
12.5 Sessions are personal and cannot be transferred to someone else without my written agreement.
13. Ending a package
13.1 A package for a fixed number of sessions or a fixed period runs to the end of that period. This does not affect your rights under Article 5 or Article 11.
13.2 Either of us may end the agreement in writing if the other seriously fails to meet it and does not put it right within a reasonable period after being told.
13.3 I may end the agreement immediately if you behave in a way that makes it unreasonable to continue — abusive or threatening behaviour, harassment of me or another client, or a serious breach of the gym's house rules.
13.4 If I end the agreement under 13.3, I refund the unused part of what you have paid, minus what you owe for sessions already taken at the standard per-period price.
13.5 Sessions already delivered are always payable.
Part C — Online products, courses and community
14. Access and use
14.1 When you buy a digital product or course you get a personal, non-transferable right to use it for your own purposes.
14.2 You do not share your login, and you do not copy, resell, publish or pass on the content. If you share access, I may close your account without warning and without refund.
14.3 You may not screenshot or record the online environment or a group session and share it, unless I have agreed in writing.
14.4 You have access for as long as the product you bought remains available. If I decide to remove or move material, I will tell you at least three months in advance by email so you can download what you want to keep.
14.5 I may improve, expand or adjust the content of a course or programme.
14.6 The online environment runs on third-party software. I cannot guarantee it is always available, and I am not liable for temporary outages outside my control.
14.7 If you pay in instalments and a payment is late, I may suspend access until it is paid. Access is restored once payment is received.
15. The community
15.1 The community is open to clients with an active licence or membership.
15.2 You are responsible for what you post. Posts must not contain advertising, unsolicited approaches to other members, spam, or discriminatory, pornographic, insulting or threatening content, and must not otherwise break the law or harm other members.
15.3 I may remove a post that breaks these rules.
15.4 If your behaviour damages the atmosphere of the community, I may remove your access and refuse future participation. This does not affect what you have paid or still owe.
15.5 A group session that you miss cannot be moved or made up. Where possible I will share a recording or the material.
15.6 Tickets for a webinar or masterclass are not refundable. Where possible we can move a ticket to another date.
Part D — Memberships and subscriptions
16. Term, renewal and cancellation
16.1 A membership runs for the initial term stated in the offer and is invoiced in advance.
16.2 After the initial term, the membership continues for an indefinite period, and you may cancel at any time with one month's notice.
16.3 A membership never renews automatically for another fixed term.
16.4 You can cancel in the same way you signed up, and by email, and I will confirm your cancellation in writing.
16.5 Amounts already paid for the current period are not refunded if you cancel part-way through it, unless you cancel under Article 5 or I end the agreement.
16.6 This article applies to consumers. For business clients, Part F applies.
Part E — General legal terms
17. Intellectual property
17.1 All intellectual property in my plans, programmes, recipes, courses, videos, texts, templates and materials belongs to me, unless we agree otherwise in writing.
17.2 You get a personal, non-transferable licence to use what I deliver for your own training. You may not copy, resell, publish or share it.
17.3 What you learn is yours to use for yourself. You may not repackage my method or my programme and offer it to others as your own, in your own name or under a similar name.
17.4 If you breach this article I may claim compensation and may end the agreement immediately.
18. Photos, filming and promotion
18.1 I do not publish your name, your image, your results or your progress photos anywhere without your separate, specific, written consent.
18.2 Consent to take progress photos for your own tracking is not consent to publish them. Those are two separate permissions and I will ask for them separately.
18.3 You can withdraw consent at any time. I will stop using the material and remove it from my own channels without delay. I cannot always remove it from places it has been reshared by others.
18.4 I sometimes film or photograph in the gym for my own content. If you are training nearby and do not want to be in it, tell me and you will not be.
18.5 How I handle your personal data, including health data and photos, is set out in my privacy statement.
19. What I promise, and what I do not
19.1 I commit to delivering my services with the care, skill and attention you are entitled to expect from a qualified personal trainer. This is an obligation of effort.
19.2 I do not guarantee a specific result — a weight, a body fat percentage, a lift, a time, or an appearance. Results depend on your training, your nutrition, your sleep, your consistency, your health and your genetics, and most of those are yours, not mine.
19.3 Nutrition. My guidance on nutrition is general lifestyle guidance from a personal trainer. I am not a doctor or a registered dietitian. Nothing I give you is medical advice, a diagnosis, a treatment, or a substitute for any of those. If you have a medical condition, an eating disorder, an allergy or a dietary requirement with a medical basis, take my plan to your doctor or dietitian first, and follow their advice over mine.
19.4 You remain responsible for how you apply what I teach you.
20. Liability
20.1 Nothing in these terms limits or excludes my liability for death or personal injury caused by my intent, my gross negligence or my failure to take reasonable care, or for anything else the law does not allow me to limit.
20.2 I carry professional and general liability insurance. Subject to 20.1, my liability for direct loss is limited to the amount my insurer pays out in the case concerned. If the insurer pays nothing, my liability is limited to the amount you paid me for the service concerned.
20.3 I am not liable for indirect or consequential loss such as lost income, lost savings or business interruption.
20.4 I am not liable for loss caused by information you gave me that was incorrect or incomplete, including health information.
20.5 I am not liable for loss, theft or damage to your belongings at the gym. That is between you and the gym.
20.6 To claim, tell me in writing, describe what went wrong, and give me a reasonable period to put it right.
21. Circumstances beyond control
21.1 Neither of us is in breach if performance is prevented by circumstances outside our reasonable control — illness, accident, a pandemic, fire, a government measure, closure of the gym, or the failure of a platform I depend on.
21.2 In that case obligations are suspended while the situation lasts, and we look together for a solution — moving sessions, pausing the package, or delivering online.
21.3 If the situation lasts longer than 90 days, either of us may end the agreement in writing. You pay for what has been delivered; I refund what has not.
22. Complaints
22.1 If you are not happy, tell me. Do it within a reasonable period of noticing the problem, and in any case within two months.
22.2 I aim to respond within five working days and to resolve it with you directly.
22.3 Making a complaint does not suspend your obligation to pay the undisputed part of an invoice.
23. Privacy and confidentiality
23.1 I handle your personal data as described in my privacy statement, which forms part of these terms.
23.2 Both of us keep confidential information confidential, during and after the agreement.
23.3 I take appropriate technical and organisational measures to protect your data.
24. Law and disputes
24.1 Dutch law applies to these terms and to every agreement between us.
24.2 We try to resolve a dispute together before either of us goes to court.
24.3 If we cannot, the dispute goes to the competent Dutch court. If you are a consumer, you may always bring the case before the court of your own place of residence, and you have one month after I invoke this clause to choose that court instead.
24.4 These terms are published in English. If you would prefer a Dutch translation, ask me and I will send you one — the English text remains the binding version.
Part F — Business and marketing coaching
Applies only to business clients. Where Part F and Parts A–E conflict, Part F wins.
25. How Part F changes the rest
25.1 Articles 5, 12 and 16 do not apply. A business client has no statutory right of withdrawal, and a business agreement runs for its agreed term.
25.2 Article 10 does not apply. Rescheduling and cancellation for business work is governed by Article 27.
25.3 Prices to business clients are excluding VAT.
25.4 A business agreement cannot be terminated part-way through its term by the business client.
26. Delivery, input and revisions
26.1 Delivery times are agreed per assignment and start once the agreement is in place and I have received everything I need from you.
26.2 You supply the information, materials, texts and images I need at the latest three days before the work or the kick-off starts, and you are responsible for their accuracy, completeness and reliability, including where they came from a third party.
26.3 You must hold a valid licence for any marketing content you supply, and you indemnify me against third-party claims about it.
26.4 Stated delivery periods are guidelines, not deadlines. Exceeding one does not by itself put me in default. If a delivery period is exceeded by more than 30 days, you may terminate only after giving me written notice and a reasonable period to deliver.
26.5 If your input is late, any resulting extra cost is yours, and I may suspend the work until I have what I need and move the deadline accordingly.
26.6 One round of revisions is included unless we agreed otherwise. Revisions must be submitted within 7 days of receiving the draft, and must stay within the scope of the assignment. Anything beyond that is additional work, charged at my hourly rate.
26.7 Anything delivered outside the agreed offer is additional work and is charged as such.
26.8 A rush assignment may be charged at €50 per hour extra. I may always decline a rush assignment.
27. Payment, cancellation and advertising budget
27.1 I may require an advance payment of up to 100% of the agreed amount before starting. Strategy days, in-company training and preparation start once that invoice is paid.
27.2 A business client is in default without further notice once a payment term passes, and owes statutory commercial interest plus out-of-court collection costs of at least 15% of the invoice amount, with a minimum of €150 excluding VAT.
27.3 Cancellation by the business client is only possible in writing. The following applies to the agreed fee: more than 60 days before the start, 20%; within 60 days, 30%; within 15 days, 50%; within 8 days of the agreed day, or non-attendance, 70%. You also compensate the cost of reserved locations and engaged third parties.
27.4 Advertising spend is not included in my fee. You pay it directly through your own advertising account, and you are responsible for checking those invoices.
27.5 If we agree that I invoice a media or advertising budget, it is charged in advance and separately from hours or subscription, and the campaign starts once that invoice is paid in full.
27.6 Before starting, I check your advertising account and remove old administrators.
28. Liability and results for business clients
28.1 You remain responsible for applying the knowledge, actions and advice given during the work. I accept no liability for how you put my method into practice.
28.2 I am not liable for the availability of the platforms and channels used, and I am not liable if an advertising account is blocked by the platform. If that happens I will do what I reasonably can to get it unblocked.
28.3 I am not liable for actions you take on your own channels, or their consequences.
28.4 I am not liable for hacks. You are required to use two-factor authentication.
28.5 I accept no liability for stock photos or other content you supply without a valid licence.
28.6 You indemnify me against all third-party claims connected with the work.
28.7 I do not give a results guarantee on reach, campaigns, advertising, sales or clicks. Results depend on the market, your product, your budget and your execution.
29. Non-competition and method
29.1 What you learn may be used for your own business. It may not be copied, and for 12 months after the programme ends you may not offer a comparable programme with reference to, or following, my method.
29.2 If I have reason to believe you have copied my content in whole or in part, it is for you to show that you have not, and Article 17 applies.
29.3 In some cases I may place a credit on or in delivered products or services. You may not remove it, unless we agreed otherwise.
29.4 I may use the fact that we worked together, and the results achieved, as a reference — in a portfolio, on my website or on social media — unless you tell me in writing that you would rather I did not.
30. Disputes with business clients
30.1 Disputes with a business client go to the competent court in the district where The Fray is established.
30.2 One year after delivery of the services or products, you indemnify me against legal claims arising from those services or products.
